The proposed A$776 million purchase of Ausgold by OceanaGold may provide the Katanning Gold Project with the technical and financial support it needs to move from an advanced development asset to an operational mine.
In order to expand OceanaGold’s portfolio beyond its current operations in the US, New Zealand, and the Philippines, the Canadian gold producer has entered into a definitive scheme implementation deed to acquire 100% of Ausgold. If the transaction is successful, Katanning will become the company’s fifth asset.
The agreement has been reached but is still pending approval from Ausgold shareholders and the court, clearance from the Foreign Investment Review Board and Australian competition, approval from the Toronto Stock Exchange, and other requirements. The completion date is set for December 2026, and a shareholder meeting is anticipated in late November.
According to the plan, each Ausgold share will be worth 0.03365 OceanaGold shares. The indicated A$1.36 offer price is 44% higher than Ausgold’s 20-day volume-weighted average price and 28% higher than its most recent closing price.
Ausgold shareholders who receive stock are anticipated to jointly control 6–8% of OceanaGold, while a cash alternative will be accessible from a pool capped at A$194 million.
The increasing momentum of Katanning
Katanning, an advanced open-pit development with a 2.44 million-ounce mineral potential and a 1.33 million-ounce ore reserve, lies about 275 kilometers southeast of Perth.
According to Ausgold’s December 2025 definitive feasibility study update, pre-production capital is estimated to be around A$355 million, with life-of-mine production of 1.22 million ounces over more than ten years, including an average annual production of roughly 143,000 ounces during the first four years.
In August 2025, Ausgold won almost 860 hectares of freehold land covering a significant section of the intended development footprint, finishing legal proceedings that had been ongoing since 2023. Ausgold has also been gradually reducing construction impediments.
It then initiated a share purchase plan with the goal of raising an additional A$10 million and raised A$80 million through an underwritten placement.
at 2026, Ausgold agreed into early-works agreements with Lycopodium for comprehensive engineering and CrossBoundary Energy for a projected hybrid gas, solar, and battery power station. It also granted a construction contract for a 250-room workforce housing village at Katanning.
Additionally, drilling kept focusing on expanding the current resource and boosting confidence during the mine plan’s initial years.
The chapter on OceanaGold
Through the acquisition, Ausgold’s single-project funding problem would be replaced by an established producer’s balance sheet.
With US$655 million in cash, no debt, and an undrawn revolving credit line at the end of the June quarter, OceanaGold generated US$130 million in quarterly free cash flow and US$385 million during the first half of 2026, putting it in a far better position to finance Katanning’s development.
Gerard Bond, president and CEO of OceanaGold, stated that the deal “marks our first acquisition in Australia” and that Katanning was a perfect fit with the company’s operational and development skills.
According to Ausgold executive chairman John Dorward, OceanaGold’s technical know-how and financial stability would greatly reduce the risk associated with Katanning’s finance and development.
Nevertheless, given that Ausgold had been aiming for a final investment decision in late 2026 and first gold in mid-2028, the change of ownership may affect Katanning’s schedule.
Instead, OceanaGold intends to continue drilling and technical work through 2027. An updated NI 43-101 technical report will be released in 2028, and first production is anticipated in 2029.
Instead of following Ausgold’s development timetable exactly, that latter aim implies that OceanaGold plans to improve the resource, mine plan, and engineering strategy. The extra labor and increased financial support may lower construction, funding, and ramp-up risk, even though this could postpone initial production.
Additionally, Katanning’s environmental assessment is still ongoing. The environmental evaluation material for the project was approved for public release by the WA Environmental Protection Authority in July, and Ausgold has obtained three more mining licenses and filed an application for works approval, continuing to be a crucial component of the project despite its owner.
In addition to providing Ausgold shareholders with an instant premium and the option of cash or ongoing exposure through OceanaGold, the transaction is more significant for Katanning because it replaces the risks associated with a stand-alone developer with the financial resources, operational expertise, and global reach of a well-established producer.
